Voltwise Power, supported by Santander CIB, announces the successful close of syndication of a £153.9 million acquisition financing supporting the 2025 purchase of a 460MW diversified UK battery energy storage system (BESS) portfolio from Smart Metering Systems ("SMS").
The acquisition represents a significant milestone for Voltwise (backed by Sandbrook Capital), materially expanding its UK footprint and marking a key step in the Company’s growth strategy to become a leading, BESS-focussed Independent Power Producer across Europe. The transaction creates a scaled platform combining operating, construction, and development stage assets, underpinned by a strong suite of operational, construction, development and commercial capabilities.
The portfolio comprises seven operational BESS assets with a combined capacity of 320MW / 350MWh, four projects under construction totalling 140MW / 280MWh, and a number of development assets that further expand Voltwise’s existing pipeline. Voltwise is focused on developing, owning and operating BESS projects in the UK and Germany, providing essential system support and grid stability amid accelerating renewable energy deployment.

Santander CIB acted as M&A Adviser, Sole Underwriter, Bookrunner, Mandated Lead Arranger, Hedge Provider, Original Issuing Bank and Account Bank on the transaction. The financing structure includes acquisition and construction facilities, alongside ancillary facilities, tailored to the portfolio’s asset mix and cash flow profile.
NatWest, Kommunalkredit, and Siemens Financial Services through Siemens Bank joined the transaction as part of the syndication process, further strengthening the lender group and widening Voltwise’s liquidity pool.
This financing reinforces Santander’s role in supporting the energy transition and delivering financing solutions for high-quality energy infrastructure platforms, while enabling Voltwise to accelerate the build-out of its BESS portfolio across its core markets.
